End User License Agreement

01License Grant

DimmerTech grants you a non-exclusive, non-transferable, revocable license to install and use the Software on general-purpose computers you own or control. All rights not expressly granted are reserved by DimmerTech.

02Restrictions

You may not rent, lease, sell, sublicense, or distribute the Software except as permitted in writing by DimmerTech. You may not reverse engineer, decompile, or disassemble the Software except to the extent permitted by applicable law.

03NDI® Components

The Software incorporates the NDI® SDK and NDI® technology from Vizrt NDI AB. Your use of any NDI functionality in the Software is additionally subject to the following terms. You agree that you will not:

• modify the NDI SDK, NDI products, or any part thereof;
• reverse engineer, decompile, disassemble, or recompile the NDI SDK, NDI products, or any protocols they use, whether transmitted over a network or used internally, or attempt to do so;
• circumvent any technical limitations in the NDI SDK or NDI products; or
• remove, obscure, or alter any proprietary notices or labels contained on or within the NDI SDK or NDI products.

You will comply fully with all relevant export laws and regulations of the United States and will not export or re-export the NDI components, directly or indirectly, in violation of U.S. law.

NDI warranty and liability disclaimer

The NDI components are provided “as is.” NDI and its licensors disclaim all warranties, express or implied, including merchantability and fitness for a particular purpose. To the extent permitted by applicable law, NDI and its licensors shall not be liable for any damages — direct, indirect, incidental, or consequential — arising from use of the Software or its NDI components.

Downstream developers

If you use the Software to develop your own product or integration, you must comply with the NDI® SDK License and include the terms of this Section 3 in your own end user license agreement. Your product must maintain current and complete NDI® compatibility at all times.

04Trademarks

NDI® is a registered trademark of Vizrt NDI AB. StageEye and DimmerTech are not sponsored by, endorsed by, or affiliated with Vizrt NDI AB. NDI marks are used solely to indicate that the Software is compatible with NDI® products.

06No Warranty

THE SOFTWARE IS PROVIDED “AS IS” AND “WITH ALL FAULTS,” WITHOUT WARRANTY OF ANY KIND. DIMMERTECH DISCLAIMS ALL EXPRESS AND IMPLIED WARRANTIES, INCLUDING MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE. YOU USE THE SOFTWARE AT YOUR OWN RISK.

07Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, DIMMERTECH SHALL NOT BE LIABLE FOR ANY INDIRECT, SPECIAL, INCIDENTAL, OR CONSEQUENTIAL DAMAGES, OR FOR LOSS OF DATA, PROFITS, OR BUSINESS, ARISING OUT OF YOUR USE OF THE SOFTWARE.

08Termination

This license terminates automatically if you breach it. On termination you must stop using and delete all copies of the Software.

09Governing Law

This Agreement is governed by the laws of the State of Tennessee, USA, without regard to its conflict-of-law rules.
